ABOUT US
A group of bodies from Northern Greece, took the initiative to investigate the possible role of a European Grouping of Territorial Cooperation.
This initiative was a result of a constant need to approach and explain the “cross-border” idea and its transformation to a specific policy which will be characterized by reciprocity on the basis of the role of each sub-region in the wider cross-border area.
The proposal was not restricted to the Hellenic-Bulgarian cross-border region, but was extended to the whole of the internal and external borders of the community space of the North-Eastern Europe, which is lagging behind in cross-border development policies.
The precondition was and is the identification of the model through which cross-border can be a matrix of potential development opportunities, by interpreting the possibilities created by the modern internationalized environment and the political and economic developments in the European economy.
The creation of the model, required a complete analysis of the data of the wider cross-border area, the reduction of the wider external environment and the wider spatial set, their interaction and their composition.
In the means, which necessarily does not follow the model but can guarantee its constitution, was included the establishment of an E.G.T.C. which will be an appropriate mechanism to fulfill the condition, in an environment characterized by:
- The system
- Reciprocity
- Structured Design
In this context, on the initiative of the Aristotle University of Thessaloniki, a meeting of bodies from Northern Greece was held on 29/06/2015, attended by representatives of Local Authorities, Chambers, Universities and Civil Society Organizations
In the core of the effort of HELICAS there are 11 thematic targets of the Strategy “Europe 2020: Strategy for smart, sustainable and inclusive growth ", which are specialized as follows:
- Cooperating for the prevention and control of natural disasters.
- Cooperating for the protection of the cross-border natural environment.
- Contributing towards the sustainable management of common natural resources and ecosystems.
- Promoting ICT use in the cross-border region, searching for technical innovation, supporting research, etc.
- Planning local cross-border policies for the mobility of human resources.
- Enhancing economic cooperation by encouraging and supporting synergies between enterprises, agencies that support entrepreneurship, etc.
- Establishing a cross-border tourism product on the basis of natural and man-made comparative advantages.
- Planning and implementing initiatives, policies, actions and tools for supporting youth, women and vulnerable social groups.
- Planning and implementing initiatives to enhance and promote primary health care, particularly in remote areas.
- Encouraging joint initiatives of civil society organisations and developing networks for cooperation between similar agencies.
- Developing initiatives to enhance mobility in the fields of culture and sports.
- Exchanging experience and know-how in the management of crucial issues for maintaining social cohesion.
- Designing and developing policies to enhance the skills of service employees.
- Monitoring and identifying good practices in other cross-border regions and partnerships within the community and adjusting creatively to local conditions.
The Member Municipalities represent 818,779 inhabitants, while the territorial area of responsibility covers 4724.89 square kilometers. The other members of HELICAS (Universities and Chambers) represent 1,350,703 inhabitants, while their territory covers 2,518,9 square kilometers. More specificthe members of HELICAS are:

Two years after the first meeting (29/06/2017) and in the same area of the Aristotle University of Thessaloniki, following the invitation of the Mayor of Thessaloniki, the first General Assembly of EGTC HELICAS took place with the participation of dozens of representatives of the participants
The General Assembly, taking into account the need for full representation of all the four-strand components, nominated the Board of Directors of the European Group, in which, with broad consensus, the following were elected:

PREAMBLE
In Thessaloniki, on the …….. of the month of …………………….. in the year 2016, in… ………………………………………………, the contracting Local Government Agencies and their Associations, Chambers, Universities and Technological Education Institutes, as well as the Association thereof, having regard to:
1. The need to create a field wherein dialogue between the agencies responsible for Administration, the Economy, Knowledge and Civil Society in Southern and Eastern Europe will be possible.
2. Regulation (EC) No 1082/2006 of the European Parliament and of the Council of 5 July 2006, on a European grouping of territorial cooperation and Article 9 thereof, in particular.
3. Regulation (EU) No 1302/2013 of the European Parliament and of the Council of 17 December 2013 amending Regulation (EC) No 1082/2006 as regards the simplification and improvement of the establishment and functioning of such groupings. Subsequent references to the “Regulation” shall mean Regulation (EC) No 1082/2006, as amended by Regulation (EU) No 1302/2013.
4. The approvals by the competent national authorities, in accordance with Article 4 of the Regulation, attached hereto.
5. The decisions of the administrative bodies of the members, which are attached hereto,
hereby agree to and mutually accept the establishment of a European Grouping of Territorial Cooperation (EGTC) as follows:
ARTICLE 1
NAME - LEGAL FORM
1.1. The name of the EGTC is ‘European Grouping of Territorial Cooperation ELIKAS MAKE”, and its trade name is ‘HELICAS’. In correspondence between the members established in different countries and in correspondence with agencies outside of Greece, the name of the EGTC shall be ‘Holistic Efficient Local Initiatives for Cooperation and Synergy - European grouping of territorial cooperation’, and its trade name shall be ‘E.G.T.C. - H.E.L.I.C.A.S’.
1.2. The EGTC consists of agencies of the quadruple helix formed by the countries of SE Europe and the Balkans. It is founded and shall function as a non-profit civil law partnership, governed by the provisions of Regulation (EC) No 1082/2006 of the European Parliament and of the Council of 5 July 2006 on a European grouping of territorial cooperation (EGTC), as amended by Regulation (EU) No 1302/2013 of the European Parliament of 17 December 2013, Articles 741-784 of the Greek Civil Code, Law 4072/2012, Articles 249-270, in accordance with Article 270(1), provided the Regulation and the convention and statute of the EGTC under the Regulation do not stipulate otherwise, and also by the provisions of the convention establishing said EGTC and this statute.
1.3. Due to the legal form of the EGTC as a non-profit civil law partnership, profits cannot be distributed to its members during its operation or its dissolution, as its functioning does not result in profits.
ARTICLE 2
SEAT
Thessaloniki has been appointed as the seat of the EGTC. The EGTC shall use the facilities of the Local Community of Neo Petritsi in the Municipality of Sindiki for ancillary purposes.
ARTICLE 3
TERRITORY OF RESPONSIBILITY
The territory where the EGTC can carry out its actions and organise cooperation among its members for the implementation of its statutory objectives is the entire territory coming under the administrative-territorial responsibility or jurisdiction of its individual members.
ARTICLE 4
OBJECTIVES AND MEANS OF ACHIEVING OBJECTIVES
4.1. HELICAS is established within the context of the quadruple helix as the field of cooperation between public administration and local government agencies (the state), agencies for the collective representation of businesses, i.e. Chambers (the market), Universities and Technological Education Institutes (education) and civil society agencies (society).
4.2. The statutory objectives of the EGTC are the 11 thematic targets of the Strategy titled ‘Europe 2020: A strategy for smart, sustainable and inclusive growth’, which can be specified as follows:
- Cooperating for the prevention and control of natural disasters.
- Cooperating for the protection of the cross-border natural environment.
- Contributing towards the sustainable management of common natural resources and ecosystems.
- Promoting ICT use in the cross-border region, searching for technical innovation, supporting research, etc.
- Planning local cross-border policies for the mobility of human resources.
- Enhancing economic cooperation by encouraging and supporting synergies between enterprises, agencies that support entrepreneurship, etc.
- Establishing a cross-border tourism product on the basis of natural and man-made comparative advantages.
- Planning and implementing initiatives, policies, actions and tools for supporting youth, women and vulnerable social groups.
- Planning and implementing initiatives to enhance and promote primary health care, particularly in remote areas.

- Developing initiatives to enhance mobility in the fields of culture and sports.
- Exchanging experience and know-how in the management of crucial issues for maintaining social cohesion.
- Designing and developing policies to enhance the skills of service employees.
- Monitoring and identifying good practices in other cross-border regions and partnerships within the community and adjusting creatively to local conditions.
4.3. In order to achieve its objectives, the EGTC can use packages of measures, actions and policies, such as:
- Establishing joint working groups for the study of individual topics.
- Processing and submitting proposals within the framework of territorial cooperation programmes.
- Developing self-financing territorial cooperation actions with or without the financial contribution of the EU.
- Facilitating the exchange of information, experience, promotion and implementation of successful practices between its members.
- Providing access to information and knowledge by utilising banking data, new technologies and the development of the information society.
- Signing individual partnership agreements.
- Developing exchanges within the context of reciprocity.
- Any other means that contributes towards achieving its statutory objectives.
ARTICLE 5
DURATION
The duration of the EGTC is indefinite.
ARTICLE 6
MEMBER LIST - ACQUISITION AND LOSS
OF MEMBERSHIP
6.1. The members of the EGTC are:

6.2. It is agreed that 1st and 2nd tier Local Government agencies and their Associations, Chambers, Universities and Technological Education Institutes operating as Legal Entities under Public Law and Civil Society agencies can henceforth become members of HELICAS, in accordance with Article 3 of the Regulation.
6.3. Entities that wish to become members of HELICAS must submit an application to the Board of Directors, which shall make a relevant recommendation at the first General Meeting that is to be held following the submission of the application. The General Meeting shall decide on the application, on condition that it will have received the previous relevant approval of the competent national authority, in accordance with Article 4 of the Regulation, always taking account of the need for the most balanced possible representation of organisations - members of the quadruple helix per participating country.
6.4. Apart from the cases provided for under Article 13 of the Regulation, members that fail to meet their statutory and financial obligations for two (2) consecutive years or fail to carry out the tasks they have undertaken or do not act in accordance with the objectives of the EGTC and the actions it develops for their fulfilment shall cease to be members of HELICAS.
The General Meeting is the competent body to decide on the loss of membership, with a resolution taken by the majority of all its members.
6.5. Members wishing to withdraw must notify the Board of Directors in writing and with the appropriate justification at least two (2) months prior to the annual Ordinary General Meeting. The decision to resign does not exempt the member from its financial obligations to HELICAS.
6.6. The participation of members from third countries or OCTs in HELICAS shall follow the same process as EU Member States, on the condition that applicants and their countries accept the fundamental principles of European Law, the European Convention for the Protection of Human Rights and Fundamental Freedoms, as well as the rules of law that govern the establishment and operation of the EGTC. The General Meeting, which is competent for the approval of the application, can set terms for the acceptance of the membership application, which in its opinion ensure the smooth integration and efficient participation of the candidate in the EGTC. The approval of membership by the competent national authority is also required for members from third countries or OCTs.
ARTICLE 7
ORGANISATIONAL STRUCTURE
The bodies of the EGTC are:
- the General Meeting
- the Board of Directors
- the Chairperson of the Board
- the Executive Committee
- the Audit Committee
- the Director.
ARTICLE 8
GENERAL MEETING
8.1. The General Meeting of the members of HELICAS is the supreme body that elects the Board of Directors and the Audit Committee. It approves the management and financial report of the Board of Directors, the annual budget, the admission of new members as well as their expulsion, and the granting of observer status. It defines the general policy of HELICAS and, generally speaking, decides on any issue referred to it.
8.2. The General Meeting of the EGTC consists of all the representatives of its members, who are elected for the entire duration of their tenure and until revoked by the body that appointed them, as follows:
8.2.1. Each Local or Regional authority with a population of:
a. up to 10 thousand residents is represented at the General Meeting by one representative
b. up to 30 thousand residents is represented at the General Meeting by two representatives
c. over 30 thousand residents is represented at the General Meeting by three representatives
d. Associations thereof are represented by three representatives
8.2.2. Each Chamber is represented by two representatives
8.2.3. Each University and Technological Educational Institute (TEI) is represented by two representatives.
Each representative has one vote at the General Meeting and can represent up to two other representatives (of the same or a different member) at the Meeting, following their authorisation, in accordance with the provisions under paragraph 8.6 of this document.
8.3. The General Meeting shall meet ordinarily once a year at its seat and extraordinarily whenever decided by the Board of Directors or when requested by 1/3 of the members of the General Meeting by way of an application submitted to the Board of Directors, specifying the items on the agenda. The General Meeting can be convened in a city – seat of an EGTC member, provided this has been proposed by the corresponding member and the proposal has been accepted by the Board of Directors.
8.4. In order to convene the General Meeting, invitations are sent to its members, listing the items on the agenda. The time of delivery of the invitation cannot be shorter than thirty (30) days from the date on which the annual ordinary General Meeting is to convene and fifteen (15) days for extraordinary meetings. The invitations are sent via e-mail and are considered to have been delivered upon receipt of the recipient’s proof of delivery.
8.5. The General Meeting is considered to be in quorum if half plus one of the paid-up members are present. If a quorum is not achieved, the General Meeting is repeated the next day at the same time and shall be in quorum regardless of the number of members present. The resolutions of the Board of Directors are passed by absolute majority of the members present, unless the law or this statute stipulate otherwise.
8.6. A representative can participate in the General Meeting by virtue of a simple signed authorisation to this effect by a different representative. Any representative can attend the General Meeting as the authorised representative of up to two other representatives of the same or a different member. The above authorisations are presented by the representatives authorised thereby to the Chairperson of the General Meeting before it commences.
8.7. The duties of the Chairperson of the General Meeting are temporarily carried out by the Chairperson of the Board of Directors until the election of the Bureau of the General Meeting, which consists of the Chairperson, the Vice-Chairperson and the Secretary, elected before the process begins by a show of hands.
8.8. Elections for the collective bodies referred to in Article 7 are conducted by single ballot, without prejudice to Article 9.
8.9. The first General Meeting is convened following an invitation drafted and sent to its members by the representative (first in the order of precedence in the relevant decision) of the Regional Authority with the largest population and, lacking that, the Municipality with the largest population and, lacking that, the University with the largest number of students and, lacking that, the Chamber with the largest number of members, who shall preside over the Meeting until the election of its Bureau, in accordance with the specific provisions of paragraph 8.7 hereof.
ARTICLE 9
BOARD OF DIRECTORS
9.1. The Board of Directors consists of fifteen (15) members, who are elected by the General Meeting by secret ballot. Thirteen (13) of its members are elected from among the members of the General Meeting, in accordance with the relevant provisions below, while two (2) members are elected from among representatives of civil society agencies, elected by the General Meeting by a separate ballot immediately after the election of the thirteen (13) members, as follows:
a) The thirteen (13) members are elected as follows:
- Before the election process begins, each member of the General Meeting wishing to be a candidate shall notify the Bureau of the General Meeting of his or her intention.
- Upon the completion of this process, the Bureau of the General Meeting shall prepare the ballot, the election shall take place by secret ballot and the thirteen (13) individuals with the highest number of crosses shall be elected as members of the Board. Each country participating in the EGTC shall be represented by at least one (1) member and, consequently, the order of election shall vary accordingly.
The seven (7) first members with the highest number of crosses, following the election of the thirteen (13) members of the Board, shall serve as the alternate members of the Board of Directors.
b) The two (2) members - representatives of civil society agencies are elected as follows:
- Each member of the General Meeting may propose the two (2) representatives or one (1) representative. For this purpose, each member shall take the floor before the election process and shall present the candidate(s) it proposes, providing information regarding the organisation he or she represents, the members of which it is comprised, its statutory objectives, its action, its years of operation, as well as any other necessary information.
- Upon the completion of this process, the Bureau of the General Meeting shall prepare the ballot.
- An election shall take place by secret ballot and the two (2) individuals with the highest number of crosses shall be elected.
The two (2) first members with the highest number of crosses in the election of the two (2) members of the Board-representatives of civil society agencies shall serve as the alternate members of the Board of Directors.
9.2. The tenure of the members of the Board is three years and can be extended until the election of the new Board of Directors, but cannot exceed three (3) months.
9.3. If a member of the Board of Directors passes away, resigns from his or her position or is recalled as a representative at the General Meeting by the agency he or she represents during his or her term, that member will be replaced by the first alternate member by order of priority.
With the exception of the above cases, a representative elected to the Board of Directors cannot be replaced during the term of the Board of Directors.
9.4. During the first meeting of the Board, which is convened by the member having received the most votes, the members of the Board shall elect the Chairperson, Vice-Chairpersons, who are equal in number to the participating countries, the Secretary and the Treasurer by absolute majority.
9.5. The Board of Directors can transfer its competencies to its Chairperson and other members.
9.6. The Board of Directors is considered to be in quorum when half plus one of its members are present and adopts resolutions by absolute majority of the members present, unless otherwise stipulated by law or the Articles of Association.
9.7. The Board of Directors can set up working committees to assist it in its work, consisting of its members or members of the General Meeting or third parties who have experience or specialised knowledge regarding the issues that concern the EGTC. Employees of the members of the EGTC can participate in these committees.
ARTICLE 10
CHAIRPERSON
The Chairperson of the Board represents HELICAS before any court, any national or Community authority, any international body or organisation, and any natural person or legal entity. The Chairperson takes any necessary action on behalf of HELICAS, binding it vis-à-vis third parties. The Chairperson signs all documents and payment orders. The Chairperson may issue a decision assigning part of his/her competencies to the Vice-Chairpersons, and may also assign the right to sign certain categories of documents to the Director; the transfer of financial competencies to another member of the Board or to the Director, such as making cash withdrawals and deposits, signing payment orders and signing cheques, can only take place by way of a notarial act.
ARTICLE 11
EXECUTIVE COMMITTEE
11.1. The Executive Committee consists of the Chairman, the Secretary and the Treasurer of the Board of Directors.
11.2. The Executive Committee is responsible for managing the current affairs of HELICAS. The Board of Directors shall decide on the characterisation of affairs as current, issuing a resolution to transfer some of its competences to the Executive Committee in order to facilitate its effective operation, such as the approval of expenditures within the limits of the budget adopted by the General Meetings, etc.
11.3. The Executive Committee is obligated to inform the Board of the actions it has taken within the framework of the competencies transferred to it, during the Board meeting immediately subsequent to the time these actions were carried out. The Board may or may not approve these actions of the Executive Committee. Any non-approval by the Board of Directors cannot oppose bona fide third parties.
ARTICLE 12
AUDIT COMMITTEE
12.1. The Audit Committee consists of three (3) members of the General Meeting who are elected at the same time as the members of the Board of Directors for a term of three (3) years. The election process is the same as the one described in paragraph 9.1 herein. The three (3) first members with the highest number of votes shall, following the election of the three (3) members of the Audit Committee, serve as its alternate members. Alternate members substitute ordinary members if the latter lose their membership status for any of the reasons set out in Article 9.3 herein.
12.2. The task of the Audit Committee, which elects its Chairperson at a meeting of its members following their election, is to audit the management of finances at the end of the fiscal year for the approval of the report and before the approval of the new financial budget by the General Meeting. This audit may also be conducted at any time, at the request of the Board of Directors.
12.3. The relevant report is submitted to the General Meeting, and also to the Board of Directors if the Board has requested the aforementioned audit.
ARTICLE 13
SINGLE-MEMBER BODIES
13.1. The Chairperson is assisted by the Vice-Chairpersons. The Vice-Chairpersons substitute the Chairperson of the Board of Directors by the order of their appointment when he or she is incapacitated, and also exercise the responsibilities transferred to them by the Chairperson or by the Board.
13.2. The Secretary is responsible for keeping the minutes at the sessions of the Board of Directors and prepares the items on the agenda in cooperation with the Chairperson. The Secretary also keeps and supervises the archive of documents of the EGTC.
13.3. The Treasurer is responsible for the funds of the EGTC and makes payments with orders bearing his or her signature, as well as the signature of the Chairperson. The Treasurer monitors and remains informed about the bank transactions of HELICAS.
ARTICLE 14
DIRECTOR
The Director is responsible for the smooth and unimpeded operation of HELICAS and its services. At the same time, the Director handles all the matters assigned to him or her in writing by the Chairperson of the Board of Directors, proposes measures and actions to the Board, ensures that the resolutions of the Board of Directors are faithfully implemented and is responsible for the coordination of the actions of the EGTC. The Director is appointed by decision of the Board, adopted by the majority of the members present.
ARTICLE 15
APPOINTMENT OF AN EXTERNAL AUDITOR - APPLICABLE ACCOUNTING AND FINANCIAL RULES FOR MEMBERS
15.1. Having assessed the content of the Audit Committee’s report, the General Meeting can appoint an external auditor to audit the accounts of HELICAS and provide said auditor a deadline for the submission of an audit report. The decision regarding the approval of the budget for the fiscal year ended is taken following the submission of the external auditor’s report. Should any liabilities emerge from the external auditor’s report, the General Meeting and any other competent body of the EGTC shall be responsible for identifying them.
15.2. The applicable financial control and financial management rules of the EGTC shall not affect the financial and accounting rules of operation applying to its members under their corresponding national law.
ARTICLE 16
WORKING LANGUAGES
All the languages of the members of the EGTC are recognised as its official languages.
The English language has been set as its working language.
ARTICLE 17
STAFF EMPLOYMENT - CONCLUSION OF PARTNERSHIP CONTRACTS
17.1. The EGTC employs staff under employment contracts governed by private law. Staff recruitment and management of labour affairs shall take place in accordance with Greek labour and other related (insurance, etc.) law applying to the conclusion of private-law contracts by private economy agencies. Staff recruitment shall be governed by the principles of meritocracy and transparency. The Board of Directors of the EGTC shall decide on the disclosure of the recruitment process.
17.2. In regard to staff recruitment, the following committees shall be set up:
a) Special Recruitment Committee, consisting of three (3) to five (5) members, which shall be responsible for conducting the overall process, from the drafting and publication of the call for applications by candidates to the recommendation of short-listed candidates to the Board.
b) Special Objections Committee, consisting of three (3) to five (5) members, which shall handle any objections submitted during the recruitment process.
These Committees only have the power to issue an opinion and their recommendations are always submitted with justification to the Board of Directors, which is responsible for making all the relevant decisions.
17.3. Furthermore, the EGTC can conclude contracts for projects or the provision of services involving specific issues with third parties or natural persons with similar specialised knowledge or experience for the execution of programmes and territorial cooperation projects with local government agencies and agencies of the public sector. The Board of Directors may provide for the observance of an associate selection procedure, in accordance with the requirements on staff recruitment.
ARTICLE 18
FINANCIAL RESOURCES
The financial resources of the EGTC are:
a) The one-time contribution of its members, amounting to €500 and payable before the admission of a new member, which can be readjusted by decision of the General Meeting, following a financial-technical study and recommendation of the Board.
b) The annual contribution of its members, amounting to €1,500, which can be readjusted by decision of the General Meeting, following a financial-technical study and recommendation of the Board.
c) Grants provided by the state, local government agencies, the European Union or national and international organisations.
d) Funding for the implementation of territorial cooperation programmes, deriving from the European Union, particularly from the structural funds, in accordance with the specific provisions of Article 7 of the Regulation.
e) Donations or any property ceded by agencies or private citizens, which the Board of Directors may justifiably accept.
f) Resources deriving from the exploitation of the movable or immovable property of the EGTC.
g) Resources deriving from any other lawful source.
ARTICLE 19
LIABILITY - JURISDICTION
19.1. The EGTC is liable for its debts of any kind and for the actions of its bodies. The members of the EGTC bear liability proportionally and up to the amount of their initial contribution.
19.2. Those who raise claims against the EGTC have the right to put forward their claim in court. To the extent that the assets of the EGTC are not sufficient to meet its financial obligations, its members are liable for its debts of any kind. The share of liability of each member is limited to the amount of its initial contribution.
19.3. The competent courts for the resolution of disputes that arise in regard to the EGTC are those determined by EU law regarding jurisdiction. In any other case, the courts of Thessaloniki shall be competent, subject to the provisions of Article 15(2) of the Regulation.
ARTICLE 20
DISSOLUTION
20.1. HELICAS shall be dissolved
- by decision of the General Meeting passed by a majority of 2/3 of all its members,
- at the request of any competent authority with a legitimate interest,
- following a judgment by the competent court.
The competent court or supervisory authority shall decide on the dissolution of the EGTC on the grounds set out in Article 14(1) of the Regulation. The competent court or administrative authority may set a deadline for remedying the situation. Should HELICAS fail to comply, the competent court or administrative authority shall decide on its dissolution.
20.2. In the case of dissolution of HELICAS, its existing immovable and movable property remaining following the fulfilment of all its obligations shall be distributed among its members in proportion to the amount of each member’s initial contribution or shall be provided, following a unanimous decision, to another agency pursuing the same or similar objectives.
ARTICLE 21
PROCEDURES FOR THE APPROVAL AND AMENDMENT OF THE STATUTE
21.1. The Statute of the EGTC shall be approved and published in accordance with the procedure set out in Articles 4 and 5 of the Regulation.
21.2. In order to amend the Statute, a decision of the General Meeting passed by a majority of 2/3 of its members is required. Any amendment to the Statute shall be notified to and approved by the competent Member States, as specifically set out in Article 4(6) of the Regulation. Any amendment to the Statute shall be registered or published, in accordance with Article 5 of the Regulation.
21.3. The Statute and amendments thereto shall be entered into the General Electronic Commercial Registry, in accordance with Greek Law (i.e. the basic Law 3419/2005 and other applicable legislation).

Έχοντας υπόψη :
- Τον Κανονισμό (ΕΚ) 1082/2006 του Ευρωπαϊκού Κοινοβουλίου και του Συμβουλίου της 5ης Ιουλίου 2006, για τον Ευρωπαϊκό Όμιλο Εδαφικής Συνεργασίας και ειδικότερα το άρθρο 8 αυτού.
- Τον Κανονισμό (ΕΚ) 1302/2013 του Ευρωπαϊκού Κοινοβουλίου και του Συμβουλίου της 17ης Δεκεμβρίου 2013 για την τροποποίηση του Κανονισμού (ΕΚ) 1082/2006, όσον αφορά στην απλούστευση και τη βελτίωση της διαδικασίας ίδρυσης και λειτουργίας αυτών των ομίλων. Όπου στη συνέχεια γίνεται αναφορά σε «Κανονισμό» νοείται ο Κανονισμός 1082/2006, όπως τροποποιήθηκε με τον Κανονισμό 1302/2013.
- Τις εγκρίσεις των αρμόδιων εθνικών αρχών, σύμφωνα με το άρθρο 4 του Κανονισμού, που προσαρτώνται στην παρούσα.
- Τις αποφάσεις των οργάνων διοίκησης των μελών, που προσαρτώνται στην παρούσα,
συμφωνούν και συναποδέχονται την ίδρυση Ευρωπαϊκού Ομίλου Εδαφικής Συνεργασίας (Ε.Ο.Ε.Σ.), με τους ακόλουθους όρους:
ΑΡΘΡΟ 1
ΕΠΩΝΥΜΙΑ
Η επωνυμία του Ε.Ο.Ε.Σ. είναι «Ευρωπαϊκός Όμιλος Εδαφικής Συνεργασίας ΕΛΙΚΑΣ Α.Μ.Κ.Ε.», με διακριτικό τίτλο «ΕΛΙΚΑΣ». Στην επικοινωνία μεταξύ των μελών εγκατεστημένων σε διαφορετικές χώρες και στην επικοινωνία με φορείς εκτός Ελλάδας η επωνυμία του Ε.Ο.Ε.Σ. θα αποδίδεται ως «HolisticEfficientLocalInitiativesforCooperationandSynergy - Europeangroupingofterritorialcooperation» και ο διακριτικός τίτλος ως «E.G.T.C. - H.E.L.I.C.A.S».
ΑΡΘΡΟ 2
ΕΔΡΑ
Ως έδρα του Ε.Ο.Ε.Σ. ορίζεται ο Δήμος Θέρμης Θεσσαλονίκης. Ο Ε.Ο.Ε.Σ. θα χρησιμοποιεί συμπληρωματικά τις εγκαταστάσεις της Τοπικής Κοινότητας Νέου Πετριτσίου Δήμου Σιντικής.
ΑΡΘΡΟ 3
ΕΔΑΦΙΚΗ ΕΚΤΑΣΗ ΕΥΘΥΝΗΣ
Το έδαφος, επί του οποίου ο ΕΛΙΚΑΣ αναπτύσσει τις δράσεις του και οργανώνει τη συνεργασία μεταξύ των μελών του για την υλοποίηση των καταστατικών του σκοπών είναι εκείνο που προσδιορίζεται από το σύνολο της εδαφικής έκτασης της διοικητικής – χωρικής ευθύνης ή δικαιοδοσίας των επί μέρους μελών του.
ΑΡΘΡΟ 4
ΣΚΟΠΟΙ ΚΑΙ ΜΕΣΑ ΕΠΙΤΕΥΞΗΣ ΤΩΝ ΣΚΟΠΩΝ
4.1. Ο ΕΛΙΚΑΣ συγκροτείται στο πλαίσιο του τετραπλού έλικα, ως του πεδίου συνεργασίας μεταξύ των φορέων της δημόσιας διοίκησης και τοπικής αυτοδιοίκησης (κράτος), των φορέων συλλογικής εκπροσώπησης του επιχειρείν, ήτοι των επιμελητηρίων (αγορά), των πανεπιστημίων και των τεχνολογικών εκπαιδευτικών ιδρυμάτων (γνώση) και των φορέων της κοινωνίας των πολιτών (κοινωνία).
4.2. Καταστατικούς σκοπούς του Ε.Ο.Ε.Σ. αποτελούν οι 11 θεματικοί στόχοι της Στρατηγικής «Ευρώπη 2020: Στρατηγική για έξυπνη, διατηρήσιμη και χωρίς αποκλεισμούς ανάπτυξη», οι οποίοι εξειδικεύονται ως ακολούθως:
- Η συνεργασία στον τομέα της πρόληψης και της καταστολής φυσικών καταστροφών.
- Η συνεργασία στον τομέα της προστασίας του διασυνοριακού φυσικού περιβάλλοντος.
- Η συμβολή στην αειφορική διαχείριση των κοινών φυσικών πόρων και οικοσυστημάτων.
- Η προαγωγή της χρήσης των ΤΠΕ στη διασυνοριακή περιοχή, η αναζήτηση τεχνολογικών καινοτομιών, η υποστήριξη της έρευνας, κ.λ.π..
- Ο σχεδιασμός τοπικών διασυνοριακών πολιτικών κινητικότητας του ανθρώπινου δυναμικού.
- Η ενίσχυση της οικονομικής συνεργασίας με την ενθάρρυνση και υποστήριξη συνεργειών μεταξύ επιχειρήσεων, φορέων στήριξης της επιχειρηματικότητας, κ.λ.π
- Η συγκρότηση διασυνοριακού τουριστικού προϊόντος στη βάση των φυσικών και ανθρωπογενών συγκριτικών πλεονεκτημάτων.
- Ο σχεδιασμός και υλοποίηση πρωτοβουλιών, πολιτικών, δράσεων και εργαλείων υποστήριξης των νέων, γυναικών και ευπαθών κοινωνικών ομάδων.
- Ο σχεδιασμός και υλοποίηση πρωτοβουλιών ενίσχυσης και προαγωγής της πρωτοβάθμιας φροντίδας υγείας ιδίως στις απομακρυσμένες περιοχές.
- Η ενθάρρυνση κοινών πρωτοβουλιών των οργανώσεων της κοινωνίας των πολιτών και η ανάπτυξη δικτύων συνεργασίας μεταξύ ομοειδών φορέων.
- Η ανάπτυξη πρωτοβουλιών ενίσχυσης της κινητικότητας στους τομείς του πολιτισμού και του αθλητισμού.
- Η ανταλλαγή εμπειριών και τεχνογνωσίας στη διαχείριση κρίσιμων ζητημάτων διατήρησης της κοινωνικής συνοχής.
- Ο σχεδιασμός και ανάπτυξη πολιτικών ενίσχυσης των δεξιοτήτων των υπηρεσιακών στελεχών.
- Η παρατήρηση και ο εντοπισμός καλών πρακτικών άλλων διασυνοριακών περιοχών και συνεργασιών στον κοινοτικό χώρο και η δημιουργική προσαρμογή στα τοπικά δεδομένα.
4.3. Για την επίτευξη των σκοπών του ο Ε.Ο.Ε.Σ. μπορεί να χρησιμοποιεί δέσμες μέτρων, ενεργειών και πολιτικών, όπως:
- Η συγκρότηση κοινών ομάδων εργασίας για τη μελέτη επιμέρους θεμάτων.
- Η επεξεργασία και υποβολή προτάσεων στο πλαίσιο προγραμμάτων εδαφικής συνεργασίας.
- Η ανάπτυξη αυτοχρηματοδοτούμενων δράσεων εδαφικής συνεργασίας με ή χωρίς την οικονομική συνεισφορά της Ε.Ε..
- Η ανταλλαγή πληροφοριών, εμπειριών, προβολής και εφαρμογής επιτυχών πρακτικών μεταξύ των μελών της.
- Η πρόσβαση στην πληροφόρηση και τη γνώση με την αξιοποίηση τραπεζικών δεδομένων, νέων τεχνολογιών και την ανάπτυξη της κοινωνίας της πληροφορίας.
- Η υπογραφή επιμέρους συμφωνητικών συνεργασίας.
- Η ανάπτυξη ανταλλαγών στο πλαίσιο της αμοιβαιότητας.
- Κάθε άλλο μέσο που συμβάλει στην επίτευξη των καταστατικών σκοπών του.
ΑΡΘΡΟ 5
ΔΙΑΡΚΕΙΑ
Η διάρκεια του ΕΛΙΚΑ είναι αόριστη.
ΑΡΘΡΟ 6
ΚΑΤΑΛΟΓΟΣ ΜΕΛΩΝ – ΑΠΟΚΤΗΣΗ ΚΑΙ ΑΠΩΛΕΙΑ
ΤΗΣ ΙΔΙΟΤΗΤΑΣ ΤΟΥ ΜΕΛΟΥΣ
6.1. Μέλη του ΕΛΙΚΑ είναι τα αναφερόμενα στο Προοίμιο της παρούσας.
6.2. Συμφωνείται ότι την ιδιότητα μέλους του ΕΛΙΚΑ μπορούν στο εξής να αποκτήσουν Οργανισμοί Τοπικής Αυτοδιοίκησης Α΄ και Β΄ βαθμού και οι Ενώσεις τους, Επιμελητήρια, Πανεπιστήμια και Τεχνολογικά Εκπαιδευτικά Ιδρύματα που περιβάλλονται τον τύπο του Νομικού Προσώπου Δημοσίου Δικαίου καθώς και φορείς της Κοινωνίας των Πολιτών, σύμφωνα με τη διάταξη του άρθρου 3 του Κανονισμού.
6.3. Όσοι επιθυμούν να καταστούν μέλη του ΕΛΙΚΑ υποβάλλουν αίτηση στο Διοικητικό Συμβούλιο, το οποίο εισηγείται σχετικά στην πρώτη Γενική Συνέλευση μετά από την υποβολή της αίτησης. Η Γενική Συνέλευση αποφασίζει επί της αίτησης, υπό την προϋπόθεση της προηγούμενης σχετικής έγκρισης της οικείας εθνικής αρχής, σύμφωνα με το άρθρο 4 του Κανονισμού, λαμβάνοντας πάντοτε υπόψη την ανάγκη της ισόρροπης κατά το δυνατόν εκπροσώπησης των οργανισμών – συνιστωσών του τετραπλού έλικα ανά συμμετέχουσα χώρα.
6.4. Πέραν των περιπτώσεων που προβλέπει το άρθρο 13 του Κανονισμού, παύουν να είναι μέλη του ΕΛΙΚΑ όσα για δύο (2) συνεχή έτη δεν εκπληρώνουν τις καταστατικές και οικονομικές τους υποχρεώσεις ή δεν ανταποκρίνονται στις εργασίες που αναλαμβάνουν ή δρουν αντίθετα με τους σκοπούς του Ε.Ο.Ε.Σ. και τις δράσεις που αναπτύσσει για την επίτευξή τους.
Αρμόδιο όργανο για τη λήψη της απόφασης περί απώλειας της ιδιότητας μέλους είναι η Γενική Συνέλευση, η οποία αποφασίζει με την πλειοψηφία του συνόλου των μελών της.
6.5. Το μέλος που επιθυμεί να αποχωρήσει οφείλει να το γνωστοποιήσει εγγράφως και αιτιολογημένα στο Διοικητικό Συμβούλιο τουλάχιστον δύο (2) μήνες πριν από την ετήσια Τακτική Γενική Συνέλευση. Η απόφαση για αποχώρηση δεν απαλλάσσει το μέλος από τις οικονομικές του υποχρεώσεις προς τον ΕΛΙΚΑ.
6.6. Η συμμετοχή στον ΕΛΙΚΑ μελών από τρίτες χώρες ή ΥΧΕ γίνεται με την ίδια διαδικασία όπως και για μέλη χωρών της Ευρωπαϊκής Ένωσης, υπό την προϋπόθεση ότι τα αιτούντα τη συμμετοχή τους μέλη όπως και οι χώρες τους αποδέχονται τις θεμελιώδεις αρχές του Ευρωπαϊκού Δικαίου, της Ευρωπαϊκής Σύμβασης για την Προάσπιση των Δικαιωμάτων του Ανθρώπου και των Θεμελιωδών Ελευθεριών, όπως και τους κανόνες δικαίου που διέπουν την ίδρυση και λειτουργία του Ε.Ο.Ε.Σ.. Η Γενική Συνέλευση που είναι αρμόδια για την αποδοχή της αίτησης δύναται να ορίσει ως προϋπόθεση για την αποδοχή της συμμετοχής όρους, που κατά την κρίση της διασφαλίζουν την εύρυθμη ένταξη και αποδοτική συμμετοχή του υποψηφίου στον Ε.Ο.Ε.Σ.. Η έγκριση της συμμετοχής από αρμόδια εθνική αρχή απαιτείται και για μέλη από τρίτες χώρες ή ΥΧΕ.
ΑΡΘΡΟ 7
ΕΥΘΥΝΗ ΜΕΛΩΝ
Τα μέλη του Ε.Ο.Ε.Σ. φέρουν ευθύνη αναλόγως της αρχικής συνεισφοράς τους. Ο ΕΛΙΚΑΣ ευθύνεται ο ίδιος αυτοτελώς για τις έναντι τρίτων υποχρεώσεις και οφειλές του.

Όργανα του Ε.Ο.Ε.Σ. είναι
- η Γενική Συνέλευση
- το Διοικητικό Συμβούλιο
- ο Πρόεδρος του Διοικητικού Συμβουλίου

ΑΡΘΡΟ 9
ΓΕΝΙΚΗ ΣΥΝΕΛΕΥΣΗ
Η Γενική Συνέλευση των μελών του ΕΛΙΚΑ είναι το ανώτατο όργανο, το οποίο εκλέγει το Διοικητικό Συμβούλιο και την Ελεγκτική Επιτροπή. Εγκρίνει τον διοικητικό και οικονομικό απολογισμό του Διοικητικού Συμβουλίου, τον ετήσιο προϋπολογισμό, την είσοδο νέων μελών και τη διαγραφή τους, καθώς και την απονομή της ιδιότητας του παρατηρητή. Καθορίζει τη γενική πολιτική του ΕΛΙΚΑ και γενικά αποφασίζει για κάθε θέμα που παραπέμπεται σε αυτήν.
ΑΡΘΡΟ 10
ΔΙΟΙΚΗΤΙΚΟ ΣΥΜΒΟΥΛΙΟ
10.1. Το Διοικητικό Συμβούλιο αποτελείται από δεκαπέντε (15) μέλη, τα οποία εκλέγονται με μυστική ψηφοφορία από τη Γενική Συνέλευση. Τα δεκατρία (13) μέλη προέρχονται από τα μέλη της Γενικής Συνέλευσης, ενώ τα δύο (2) μέλη προέρχονται από εκπροσώπους φορέων της κοινωνίας των πολιτών τα οποία εκλέγονται με ξεχωριστό ψηφοδέλτιο ομοίως από τη Γενική Συνέλευση και αμέσως μετά από τη διενέργεια της διαδικασίας εκλογής των δεκατριών (13) μελών.
10.2. Τα μέλη του Διοικητικού Συμβουλίου στην πρώτη τους συνεδρίαση, η οποία συγκαλείται από το μέλος που έλαβε τις περισσότερες ψήφους, εκλέγουν με απόλυτη πλειοψηφία τον Πρόεδρο, τους Αντιπροέδρους οι οποίοι είναι τόσοι όσες και οι συμμετέχουσες χώρες, τον Γραμματέα και τον Ταμία.
10.3. Η θητεία των μελών του Διοικητικού Συμβουλίου είναι τριετής και μπορεί να παραταθεί μέχρι την εκλογή του νέου Διοικητικού Συμβουλίου και πάντως όχι πέραν των τριών (3) μηνών.
10.4. Το Διοικητικό Συμβούλιο αποφασίζει για όλα τις υποθέσεις του ΕΛΙΚΑ, πλην αυτών για τις οποίες η αρμοδιότητα ανήκει στη Γενική Συνέλευση.
10.5. Το Διοικητικό Συμβούλιο για να υποβοηθηθεί στο έργο του μπορεί να συστήνει επιτροπές εργασίας από τα μέλη του ή από τα μέλη της Γενικής Συνέλευσης ή και από τρίτους, που έχουν αποδεδειγμένη εμπειρία ή ειδικές γνώσεις σε σχέση με τα ζητήματα που εκάστοτε απασχολούν τον ΕΛΙΚΑ. Στις επιτροπές αυτές είναι δυνατή η συμμετοχή και εργαζομένων των μελών του ΕΛΙΚΑ.
ΑΡΘΡΟ 11
ΠΡΟΕΔΡΟΣ
Ο Πρόεδρος του Διοικητικού Συμβουλίου εκπροσωπεί τον ΕΛΙΚΑ ενώπιον παντός δικαστηρίου, κάθε αρχής, εθνικής ή κοινοτικής, διεθνών οργάνων και οργανισμών, κάθε νομικού και φυσικού προσώπου. Ενεργεί για λογαριασμό του κάθε αναγκαία πράξη δεσμεύοντας αυτόν έναντι των τρίτων. Υπογράφει κάθε έγγραφο, καθώς και τα εντάλματα πληρωμών. Με απόφασή του δύναται να αναθέτει στους Αντιπροέδρους μέρος των αρμοδιοτήτων του και στον Διευθυντή το δικαίωμα υπογραφής συγκεκριμένων κατηγοριών εγγράφων, ενώ η μεταβίβαση οικονομικών αρμοδιοτήτων σε άλλο μέλος του Διοικητικού Συμβουλίου ή τον Διευθυντή, όπως αναλήψεις και καταθέσεις μετρητών, υπογραφή ενταλμάτων πληρωμών, υπογραφές επιταγών, είναι δυνατή μόνο με συμβολαιογραφική πράξη.
ΑΡΘΡΟ 12
ΕΚΤΕΛΕΣΤΙΚΗ ΕΠΙΤΡΟΠΗ
12.1. Την Εκτελεστική Επιτροπή συγκροτούν ο Πρόεδρος, ο Γραμματέας και ο Ταμίας του Διοικητικού Συμβουλίου.
12.2. Αρμοδιότητα της Εκτελεστικής Επιτροπής είναι η διαχείριση των τρεχουσών υποθέσεων του ΕΛΙΚΑ. Περί του χαρακτήρα υποθέσεων ως τρεχουσών αποφασίζει το Διοικητικό Συμβούλιο, το οποίο με απόφασή του είναι δυνατόν να μεταβιβάσει στην Εκτελεστική Επιτροπή ορισμένες αρμοδιότητές του, προκειμένου να διευκολύνει την αποτελεσματική λειτουργία του, όπως είναι η έγκριση των δαπανών που γίνονται εντός των ορίων του εγκεκριμένου από τη Γενική Συνέλευση προϋπολογισμού κ.λ.π.
12.3. Η Εκτελεστική Επιτροπή υποχρεούται να ενημερώνει το Διοικητικό Συμβούλιο για τις ενέργειες, στις οποίες έχει προβεί στο πλαίσιο των μεταβιβαζόμενων αρμοδιοτήτων στην αμέσως επόμενη συνεδρίαση του Διοικητικού Συμβουλίου από τότε που οι ενέργειες αυτές έλαβαν χώρα. Το Διοικητικό Συμβούλιο εγκρίνει ή όχι τις ενέργειες της Εκτελεστικής Επιτροπής. Τυχόν μη έγκριση του Διοικητικού Συμβουλίου δεν μπορεί να αντιταχθεί στους καλόπιστους τρίτους.
ΑΡΘΡΟ 13
ΕΛΕΓΚΤΙΚΗ ΕΠΙΤΡΟΠΗ
13.1. Η Ελεγκτική Επιτροπή αποτελείται από τρία (3) μέλη, τα οποία εκλέγονται ταυτόχρονα με τα μέλη του Δ.Σ και έχουν θητεία τριών (3) ετών. Τα τρία (3) πρώτα μέλη στην προτίμηση ψήφων, μετά την εκλογή των τριών (3) μελών της Ελεγκτικής Επιτροπής, αποτελούν τα αναπληρωματικά μέλη της.
13..2. Έργο της Ελεγκτικής Επιτροπής, η οποία σε συνεδρίαση των μελών της μετά την εκλογή τους εκλέγει τον Πρόεδρό της, είναι ο έλεγχος της διαχείρισης των οικονομικών στην λήξη του οικονομικού έτους, για την έγκριση του απολογισμού και πριν την έγκριση από τη Γενική Συνέλευση του νέου οικονομικού προϋπολογισμού. Ο έλεγχος αυτός είναι δυνατόν επίσης να διενεργηθεί και κατά πάντα χρόνο μετά από εντολή του Διοικητικού Συμβουλίου.
13.3. Η σχετική έκθεση υποβάλλεται στη Γενική Συνέλευση, καθώς και στο Διοικητικό Συμβούλιο στην περίπτωση που αυτό έχει προκαλέσει τον ανωτέρω έλεγχο.
ΑΡΘΡΟ 14
ΜΟΝΟΠΡΟΣΩΠΑ ΟΡΓΑΝΑ
14.1. Τον Πρόεδρο επικουρούν οι Αντιπρόεδροι. Οι Αντιπρόεδροι αναπληρώνουν κατά τη σειρά εκλογής τους τον Πρόεδρο του Διοικητικού Συμβουλίου, όταν αυτός κωλύεται, και ασκούν τις μεταβιβασθείσες σε αυτούς από τον Πρόεδρο ή το Διοικητικό Συμβούλιο αρμοδιότητες.
14.2. Ο Γραμματέας επιμελείται την τήρηση των πρακτικών της συνεδρίασης του Διοικητικού Συμβουλίου και επεξεργάζεται, σε συνεργασία με τον Πρόεδρο, τα θέματα της ημερήσιας διάταξης. Επίσης, τηρεί και επιμελείται του αρχείου εγγράφων του Ε.Ο.Ε.Σ..
14.3. Ο Ταμίας έχει την ευθύνη του ταμείου, προβαίνει σε πληρωμές με ένταλμα που φέρει την υπογραφή του καθώς και αυτήν του Προέδρου του Διοικητικού Συμβουλίου. Παρακολουθεί και ενημερώνεται για τις τραπεζικές συναλλαγές του ΕΛΙΚΑ.
ΑΡΘΡΟ 15
ΔΙΕΥΘΥΝΤΗΣ
Την ευθύνη για την ομαλή και απρόσκοπτη λειτουργία του ΕΛΙΚΑ και των υπηρεσιών του έχει ο Διευθυντής του, ο οποίος παράλληλα διαχειρίζεται όλα τα ζητήματα που του έχουν ανατεθεί εγγράφως από τον Πρόεδρο του Διοικητικού Συμβουλίου, προς το οποίο εισηγείται μέτρα και δράσεις, φροντίζει για την πιστή εφαρμογή των αποφάσεών του και μεριμνά για τον συντονισμό των δράσεων του Ε.Ο.Ε.Σ.. Ο Διευθυντής ορίζεται με απόφαση του Διοικητικού Συμβουλίου, η οποία λαμβάνεται με την πλειοψηφία των παρόντων μελών.
ΑΡΘΡΟ 16
ΖΗΤΗΜΑΤΑ ΔΗΜΟΣΙΟΝΟΜΙΚΟΥ ΕΛΕΓΧΟΥ, ΟΙΚΟΝΟΜΙΚΗΣ ΔΙΑΧΕΙΡΙΣΗΣ ΚΑΙ ΑΜΟΙΒΑΙΑΣ ΑΝΑΓΝΩΡΙΣΗΣ
16.1. Ο έλεγχος της οικονομικής διαχείρισης του ΕΛΙΚΑ διενεργείται από τις αρμόδιες ελληνικές αρχές, σύμφωνα με τα οριζόμενα στις διατάξεις του άρθρου 4 της υπ’ αριθ.36808/2008 (ΦΕΚ 1262/Β΄/1-7-2008) Κοινής Υπουργικής Απόφασης των Υπουργών Εσωτερικών, Οικονομίας και Οικονομικών και Εξωτερικών περί ρύθμισης θεμάτων για την εφαρμογή του Κανονισμού (ΕΚ) 1082/2006 του Ευρωπαϊκού Κοινοβουλίου και του Συμβουλίου της 5ης Ιουλίου 2006 για τον Ευρωπαϊκό Όμιλο Εδαφικής Συνεργασίας (Ε.Ο.Ε.Σ.). Ο έλεγχος της διαχείρισης ειδικότερα των κοινοτικών πόρων διενεργείται κατά τα προβλεπόμενα στην οικεία εθνική ή κοινοτική νομοθεσία. Όλοι οι έλεγχοι πραγματοποιούνται σύμφωνα με διεθνώς αποδεκτά πρότυπα λογιστικού ελέγχου.
16.2. Τα μέλη αναγνωρίζουν ως νόμιμες και εκτελεστές όλες τις πράξεις που σύμφωνα με το εφαρμοστέο ενωσιακό δίκαιο και το εθνικό δίκαιο της έδρας τους εκδίδουν τα όργανα των μελών καθώς και οι αρμόδιες αρχές των κρατών μελών, όπου τα μέλη έχουν την καταστατική τους έδρα, και που αφορούν στην ίδρυση και λειτουργία του Ε.Ο.Ε.Σ. και των μελών του.
ΑΡΘΡΟ 17
ΛΥΣΗ
17.1.Η λύση του ΕΛΙΚΑ γίνεται
- με απόφαση της Γενικής Συνέλευσης, η οποία λαμβάνεται με πλειοψηφία των 2/3 του συνόλου των μελών της,
- ύστερα από αίτηση οποιασδήποτε αρμόδιας αρχής που έχει έννομο συμφέρον,
- με απόφαση του αρμοδίου δικαστηρίου.
Το αρμόδιο δικαστήριο ή η εποπτεύουσα αρχή αποφασίζει τη λύση του για τους λόγους που αναφέρονται στο άρθρο 14 παρ. 1 του Κανονισμού. Το αρμόδιο δικαστήριο ή η διοικητική αρχή μπορούν να τάξουν προθεσμία για θεραπεία της κατάστασης. Εάν ο ΕΛΙΚΑΣ δεν συμμορφωθεί, το αρμόδιο δικαστήριο ή η αρμόδια διοικητική αρχή αποφασίζουν τη λύση του.
17.2. Σε περίπτωση λύσης του ΕΛΙΚΑ τα υφιστάμενα περιουσιακά στοιχεία, κινητά ή ακίνητα, που απομένουν μετά την εκπλήρωση όλων των υποχρεώσεών του, κατανέμονται μεταξύ των μελών του ανάλογα με το ποσό της αρχικής συνεισφοράς του καθενός ή διατίθενται με ομόφωνη απόφαση σε άλλο φορέα που επιδιώκει όμοιους ή παρεμφερείς σκοπούς.

ΑΡΘΡΟ 18
ΕΦΑΡΜΟΣΤΕΟ ΔΙΚΑΙΟ – ΔΙΚΑΣΤΙΚΗ ΔΙΚΑΙΟΔΟΣΙΑ
18.1. Εφαρμοστέο δίκαιο για την ερμηνεία και εφαρμογή της παρούσας σύμβασης, τον προσδιορισμό των σχέσεων του ΕΛΙΚΑ με τα μέλη του και την επίλυση των ζητημάτων που προκύπτουν κατά τη λειτουργία του, είναι το δίκαιο της έδρας του, δηλαδή το Ελληνικό Δίκαιο, με την επιφύλαξη εφαρμογής, όπου τούτο επιβάλλεται, των κανόνων του ενωσιακού δικαίου. Ως εφαρμοστέο δίκαιο επομένως συμφωνείται, ειδικά ακόμη για το σκοπό ερμηνείας και επιβολής εφαρμογής της σύμβασης, ο Κανονισμός 1082/2006, όπως κάθε φορά ισχύει, και το δίκαιο της Ελλάδας, όπου λειτουργούν τα καταστατικά όργανα του ΕΛΙΚΑ, ειδικότερα ο Αστικός Κώδικας, άρθρα 741 - 784, ιδίως τα άρθρα 742 -747, 770-771, τα άρθρα 173 και 200, καθώς και ο ν. 4072/2012, άρθρα 249 – 270, σύμφωνα με το άρθρο 270 παρ. 1, εφόσον ο Κανονισμός και η σύμφωνη με τον Κανονισμό σύμβαση και καταστατικό του Ε.Ο.Ε.Σ. δεν προβλέπουν διαφορετικά.
18.2. Η δράση του ΕΛΙΚΑ ρυθμίζεται από τους κανόνες του ενωσιακού και Ελληνικού δικαίου, που διέπουν τους καταστατικούς του σκοπούς.
18.3. Η πρόσληψη προσωπικού και η διαχείριση των εργασιακών θεμάτων γίνεται σύμφωνα με την Ελληνική εργατική και λοιπή συναφή (ασφαλιστική κ.λ.π.) νομοθεσία, που αφορά στη σύναψη συμβάσεων ιδιωτικού δικαίου από φορείς της ιδιωτικής οικονομίας. Η πρόσληψη προσωπικού διέπεται από τις αρχές της αξιοκρατίας και της διαφάνειας.
18.4. Αρμόδια δικαστήρια για την επίλυση των διαφορών που προκύπτουν σε σχέση με τον Ε.Ο.Ε.Σ. είναι εκείνα που καθορίζονται από το δίκαιο της Ευρωπαϊκής Ένωσης περί δικαιοδοσίας. Σε κάθε άλλη περίπτωση αρμόδια θα είναι τα δικαστήρια της Θεσσαλονίκης, σύμφωνα με τα οριζόμενα στο άρθρο 15 παρ.2 του Κανονισμού.
ΑΡΘΡΟ 19
ΔΙΑΔΙΚΑΣΙΕΣ ΕΓΚΡΙΣΗΣ ΚΑΙ ΤΡΟΠΟΠΟΙΗΣΗΣ ΤΗΣ ΣΥΜΒΑΣΗΣ ΚΑΙ ΤΟΥ ΚΑΤΑΣΤΑΤΙΚΟΥ
19.1. Για την τροποποίηση της σύμβασης και του καταστατικού απαιτείται απόφαση της Γ.Σ., η οποία λαμβάνεται με πλειοψηφία των 2/3 των μελών της.
19.2. Η σύμβαση για την ίδρυση και το καταστατικό του Ε.Ο.Ε.Σ. εγκρίνονται και δημοσιεύονται σύμφωνα με τη διαδικασία που προβλέπουν τα άρθρα 4 και 5 του Κανονισμού.
19.3. Οποιαδήποτε τροποποίηση της παρούσας σύμβασης και του καταστατικού κοινοποιείται και εγκρίνεται από τα οικεία κράτη μέλη, όπως ειδικότερα προβλέπει, κατά περίπτωση, το άρθρο 4 παρ. 6 του Κανονισμού. Κάθε τροποποίηση της σύμβασης και του καταστατικού καταχωρείται ή δημοσιεύεται όπως προβλέπεται στο άρθρο 5 του Κανονισμού.
